Pilmico announces purchase of Vietnamese feeds firm

Vinh Hoan Corporation (VHC) and Pilmico International Pte. Ltd. (Pilmico International), a wholly-owned subsidiary of Aboitiz Equity Ventures, Inc. (AEV), have signed a Share Sale and Purchase Agreement under which Pilmico International will acquire from VHC a seventy percent (70%) equity stake in Vinh Hoan 1 Feed JSC (VHF).  Pilmico International will purchase the remaining thirty percent (30%) within five (5) years at a pre-agreed price set out in the Agreement. The purchase price for the entire transaction is approximately USD28 million. The transaction is expected to close in July 2014.

VHF is the fourth largest aqua feed producer in Vietnam.  AEV, through its food subsidiary, Pilmico Foods Corporation (Pilmico), manufactures andsells flour, feeds and their by-products.

VHC and Pilmico will conduct joint research in feed formulation in order to produce the highest quality pangasius products to our customers worldwide”.

Business Development Asia (HK) Ltd (BDA) acted as financial advisor and Honor Partnership Law Company Limited acted as legal advisor to VHC while Indochina Capital Corporation acted as financial advisor and Gide Loyrette Nouel A.A.R.P.I. acted as legal advisor to Pilmico.
