NOTICE is hereby given that a Special Stockholders’ Meeting (“2021 SSM”) of ABOITIZ EQUITY VENTURES INC. will be held on December 10, 2021 at 1:00 p.m. In compliance with health and safety protocols, the 2021 SSM is an entirely online event via livestream. NO physical venue for stockholders to attend the meeting.

Stockholders of record as of November 5, 2021 are entitled to participate and vote in the 2021 SSM. The Notice and Agenda for the 2021 SSM may be downloaded here.

The SSM will be held via live streaming on December 10, 2021, Friday at 1:00 p.m. (PH Time) on this page. Register through the SSM portal beginning November 8, 2021. Stockholders may register until 10:00 a.m. of December 10, 2021.

Stockholders may vote through the following:

I. VOTING BY PROXY

• Proxy Form for Individual Stockholder
• Proxy Form for Corporate Stockholder
• Proxy Form for PCD Participant/Broker
• Sample Secretary’s Certificate
• Sample Special Power of Attorney

Stockholders may send their duly accomplished proxies on or before the close of business hours on December 3, 2021 to the Corporate Secretary through email at aboitizboardsecretariat@aboitiz.com and hard copies at the 18th Floor, NAC Tower, 32nd Street, Bonifacio Global City, Taguig City. Validation of proxies will be on December 7, 2021 at the Office of the Corporate Secretary.

II. ELECTRONIC VOTING OR VOTING IN ABSENTIA

Register through the Voting Portal or at https://ssm.aboitiz.com/. Votes cast by registered stockholders until 10:00 am of December 10, 2021, will be presented during the ASM.
